Who this template is for

Freelancers and small agencies in design, development, marketing, consulting, writing, video, events or trades who want to agree scope and price in writing before starting.

How to fill it in and get it signed

Text of the clauses

These are the clauses included by default. What appears in brackets is replaced by what you type in the form.

1. 1. Services The Provider will carry out the following work for the Client: [description of the service]. Anything not described above is outside the scope of this agreement and may be quoted separately.
2. 2. Timeline The Provider will deliver the work by [delivery date or timeframe], provided the Client supplies the materials, feedback and approvals needed on time. Delays caused by the Client extend the deadline by the same number of days.
3. 3. Price and payment The total price is [total price] [currency] ([taxes]). A deposit of [deposit due on signing] [currency] is due on signing and is non-refundable once work has started. The balance of [balance] [currency] is due on delivery, within 7 days of the invoice. Late payments may accrue interest at the statutory rate.
4. 4. Revisions and changes The price includes the revisions stated in the description. Additional changes, new requirements or work outside the agreed scope will be quoted and approved in writing before being carried out.
5. 5. Client obligations The Client will provide all content, access and information reasonably required, confirms it has the right to use any material it supplies and will respond to requests for approval within 5 working days.
6. 6. Intellectual property Once the full price has been paid, the Client owns the final deliverables. The Provider keeps the rights to its working files, methods and pre-existing material, and may show the work in its portfolio unless the Client objects in writing.
7. 7. Cancellation Either party may end this agreement with written notice. If the Client cancels, the deposit is kept and work completed to date is invoiced in proportion. If the Provider cancels for reasons not attributable to the Client, any payment for work not delivered is refunded.
8. 8. Liability The Provider will perform the services with reasonable skill and care. Its total liability under this agreement is limited to the amount paid by the Client. Neither party is liable for indirect losses or loss of profit.
9. 9. Confidentiality Both parties will keep confidential any non-public information received from the other in connection with this agreement.
10. 10. Governing law and signatures This agreement is governed by the laws of [governing law]. The parties sign it electronically, which has the same effect as a handwritten signature, and each receives a signed copy.
